1. Acceptance of Terms

By installing the Verto GitHub App, creating an account, or otherwise accessing or using the Verto dashboard and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not use the Service.

2. Description of Service

Verto is an AI-powered pre-deployment check platform for GitHub Pull Requests. When a Pull Request is opened or updated on a repository where the Verto GitHub App is installed, Verto automatically analyzes the code diff using artificial intelligence to identify potential issues, generate suggestions, and provide automated feedback before code is merged.

Verto offers both free and paid tiers. Pricing details are available on our website. While we strive for accuracy and reliability, you are ultimately responsible for reviewing and approving any code changes or suggestions provided by Verto before merging them into your production branches.

3. Account Registration

To use the Service, you must create an account through our authentication provider, Clerk, using GitHub OAuth. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately if you suspect any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights.
  • Abuse, disrupt, or interfere with the Service, its infrastructure, or other users' use of the Service, including through automated scripts, bots, or denial-of-service attacks.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying architecture of the Service.
  • Submit malicious code patterns, exploit payloads, or content designed to compromise the integrity of the AI analysis or produce harmful outputs.
  • Resell, sublicense, or redistribute the Service or any outputs generated by the Service without our prior written consent.
  • Use the Service to develop a competing product or service.

We reserve the right to suspend or terminate your access if we determine, in our sole discretion, that you have violated this Acceptable Use Policy.

5. Intellectual Property

Verto's Rights: The Service, including its software, design, logos, documentation, and all related intellectual property, is owned by Verto and is protected by copyright, trademark, and other applicable laws. These Terms do not grant you any ownership rights in the Service.

Your Rights: You retain all ownership rights to your code, repositories, and any content you submit through the Service. By using the Service, you grant Verto a limited, non-exclusive, revocable license to access and process your Pull Request diffs solely for the purpose of providing the Service.

AI-Generated Suggestions:Any suggestions, comments, or feedback generated by Verto's AI analysis are provided "as-is" for informational purposes only. You are free to use, modify, or discard these suggestions at your discretion. Verto makes no claims of ownership over AI-generated suggestions once delivered to you.

6. Service Availability & Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of material changes. There is no Service Level Agreement (SLA) guarantee for the free tier. Paid tier SLA terms, if applicable, are defined in the corresponding subscription agreement.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Verto, its directors, employees, partners, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Service.

Verto's total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total amount of fees paid by you to Verto in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. Verto specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Verto does not warrant that the Service will meet your requirements, that the AI-generated suggestions will be accurate, complete, or error-free, or that the Service will be available on an uninterrupted, timely, secure, or error-free basis. You use the Service and rely on any AI-generated output at your own risk.

9. Termination

Either party may terminate this agreement at any time. You may terminate by uninstalling the Verto GitHub App from your repositories and deleting your account through the dashboard. We may terminate or suspend your access to the Service at any time, with or without cause, and with or without notice.

Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination (including, without limitation, intellectual property, limitation of liability, disclaimer of warranties, and governing law) shall survive.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the State of Delaware, and you hereby consent to the personal jurisdiction and venue of such courts.

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will provide at least thirty (30) days' advance notice by sending a notification to the email address associated with your account or by posting a prominent notice on the dashboard. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must discontinue use of the Service before they take effect.
